Summr Institute is not a registered investment adviser, broker-dealer, swap dealer, commodity pool operator, or futures commission merchant. Nothing on this platform constitutes investment advice, a securities offering, or a regulated financial service of any kind.

1. Entity Status

Summr Institute Inc. is a Delaware nonprofit corporation operating an educational platform at summr.institute. It is a legally and operationally separate entity from Summr Capital Management LLC, a Delaware limited liability company and registered investment adviser.

  • Summr Institute Inc. is not registered with the U.S. Securities and Exchange Commission (SEC), FINRA, CFTC, NFA, or any state securities regulator as an investment adviser, broker-dealer, or financial intermediary.
  • Summr Capital Management LLC maintains its own regulatory registrations and disclosures separately from the Institute.
  • Enrolment in Summr Institute does not constitute an investment in or relationship with Summr Capital Management LLC.

2. No Investment Advice

All curriculum content, case studies, financial model examples, valuation exercises, and instructional materials provided by Summr Institute are for educational purposes only. They do not constitute:

  • Investment advice or recommendations regarding any specific security, instrument, strategy, or fund;
  • An offer or solicitation to buy or sell any security or investment product;
  • A guarantee of investment performance or outcome;
  • Personalised financial planning or wealth management guidance.

Any company names, ticker symbols, financial data, or transaction details referenced in curriculum materials are used solely as illustrative examples for educational purposes and do not reflect current market conditions or constitute a recommendation.

3. Certifications Are Not Licences

Certifications issued by Summr Institute upon completion of programme requirements are professional credentials that attest to educational completion. They are not:

  • Regulatory licences, including Series 7, Series 65, Series 66, CFA charter, CPA licence, or any other FINRA, SEC, NASAA, or state-issued credential;
  • Academic degrees or accredited course credit;
  • Qualifications that fulfil continuing education (CE) requirements for any regulated profession, unless explicitly stated in writing by the Institute for a specific programme.

Students seeking regulatory licensure must satisfy the requirements of the applicable regulator (FINRA, state securities regulators, NASAA, etc.) independently.

4. No Employment Relationship

Enrolment in Summr Institute does not create an employment, contractor, or agency relationship with Summr Institute Inc. or Summr Capital Management LLC. Any internship or placement consideration is governed by the terms stated in our Services T&Cs and is entirely separate from any investment management operations.

5. Relationship with Summr Capital Management

Summr Capital Management LLC manages private investment funds and is subject to separate regulatory oversight and disclosure obligations. The following clarifications apply to the relationship between the two entities:

  • Summr Institute does not solicit, refer, or introduce students to Summr Capital funds or managed accounts.
  • Summr Capital does not share confidential fund information, investor data, or portfolio positions with the Institute.
  • The Institute's curriculum may reference general investment management concepts, but it does not describe or promote Summr Capital's proprietary investment strategies.
  • Any mention of Summr Capital Management in curriculum materials is for contextual or illustrative purposes only.

6. Forward-Looking Statements

The Institute's website and materials may include statements about intended programmes, future curriculum development, partnership expansion, and platform capabilities. These forward-looking statements reflect current expectations and are subject to change.
